Coach Agreement
Version 1 · Last updated: October 19, 2026
Every coach must accept this agreement in the coach portal before coaching athletes on EchoFit; payments and paid coaching plans stay closed until it is accepted. In short: you are an independent professional; your credentials and insurance are yours to keep current; you coach training, not medical care; an athlete's data is theirs, used only to coach them; and payments, when offered, run through Stripe Connect. Athletes: this is what your coach has agreed to. Our Terms of Service explain how coaching works for you.
This Coach Agreement (this "Agreement") is between Alra Intelligence LLC, a limited liability company formed in Wyoming, of 30 N Gould St, Ste N, Sheridan, WY 82801, USA ("EchoFit", "we", "us"), and the person who accepts it in the EchoFit coach portal ("Coach", "you"). It takes effect when you accept it, and it adds to the EchoFit Terms of Service and Privacy Policy, which also apply to you as a member.
1. Your role: an independent professional
1.1 You are an independent contractor. Nothing in this Agreement makes you our employee, worker, partner, agent or franchisee. You decide your methods, your hours, your clients and, where the portal lets you, your prices.
1.2 You may not present yourself as speaking for EchoFit or make commitments on our behalf. You may describe yourself as "a coach on EchoFit".
1.3 You are responsible for your own taxes, social contributions, business registrations and permits. We may ask for the tax information the law requires before we pay you (section 7.4).
1.4 There is no exclusivity in either direction. You may coach on other platforms and in person.
2. Who can coach
2.1 You must be at least 18 years old and able to enter into a binding contract.
2.2 Everything you say about your qualifications, certifications, experience and specialties — on your coach page, in messages and anywhere else — must be true and current. Keep copies of your certificates and show them to us when we ask. Tell us promptly if a certification lapses or is withdrawn.
2.3 We may review your application and your coach page, and may decline or end your access under section 9.
3. Insurance
3.1 You must hold, and keep in force while you coach on EchoFit, professional liability insurance suitable for the services you provide in the places where you provide them.
3.2 You must show us proof of that insurance when we ask. EchoFit's own insurance does not cover your coaching services.
4. Scope of practice: training, not medical care
4.1 You coach training. You must not diagnose, treat or claim to cure any injury, disease or medical condition, prescribe or recommend medication, or present EchoFit's outputs as medical advice.
4.2 When an athlete reports chest pain, fainting, unusual shortness of breath, a significant or worsening injury, pregnancy complications, disordered eating, or thoughts of self-harm, you must tell them to stop and see a qualified clinician or, in an emergency, to call their local emergency number.
4.3 Respect the health information in the platform: an injury or area to avoid, a pregnancy or postpartum note, or a "medical clearance advised" result changes what the plan prescribes. Do not override or remove it to push training the athlete's situation does not support.
4.4 Nutrition targets you set must stay within your qualifications. Do not give individual medical nutrition therapy unless you are licensed to.
4.5 If an athlete is under 18, you must have their parent's or guardian's agreement before coaching them, and you must take extra care with load, recovery and communication. Progress photos are not available for athletes under 18.
5. Athlete data: the article that matters most
5.1 An athlete's data belongs to the athlete. You see it only because the athlete consented, on the screen the app showed them before connecting, and only while they stay connected to you. What you can see and do is limited to what that screen describes.
5.2 Use athlete data only to coach that athlete. Do not use it to market to them or anyone else, to build a mailing list, to train an AI model, or for any other athlete; do not sell, share or publish it.
5.3 Keep athlete data in EchoFit. Do not export, screenshot or copy it out of the platform unless that is genuinely needed to coach that athlete, and never into a system you do not control and secure.
5.4 Health information — injuries, pregnancy or postpartum, body weight, progress photos, check-in answers — is sensitive. Handle it with the care a health professional would.
5.5 When an athlete leaves you, or this Agreement ends, stop using their data at once and destroy any copies you hold. The platform ends your access automatically.
5.6 Keep your account secure: a unique password, no shared access, and a locked device. Tell us at security@echofit.app within 24 hours of learning of any unauthorised access to, or disclosure of, athlete data — including a lost or compromised device.
5.7 Any case study, testimonial, before-and-after or screenshot that identifies an athlete needs that athlete's explicit written consent first.
5.8 Every time you open data an athlete shared optionally (such as body weight or progress photos), and every change you make to their plan, is recorded and visible to EchoFit; some of it is visible to the athlete too.
5.9 For athlete data, you act on our behalf and on our instructions in this article. If the law treats you as a separate controller of any personal data (for example, data an athlete gives you outside EchoFit), you are responsible for meeting that law yourself.
5.10 Because you act on our behalf for athlete data, you also: (a) keep it confidential, and let no one else access it; (b) do not engage anyone else to handle it — an assistant, another coach, or an outside service or app — without our prior written consent; (c) help us answer an athlete's request to access, correct or delete their data, and send any such request you receive to privacy@echofit.app within 10 days; (d) help us keep it secure and deal with a breach or a data-protection assessment, as section 5.6 and our reasonable requests describe; (e) give us the information we reasonably need to show that this article is followed, and cooperate with our checks, including an audit by us or someone we appoint, on reasonable notice; and (f) tell us at once if you believe one of our instructions breaks data-protection law. Section 5.5 says what happens to the data when an athlete leaves you or this Agreement ends.
6. Conduct and content
6.1 Treat athletes with respect. No harassment, discrimination, sexual content or relationships with athletes you coach, and no pressure to buy anything.
6.2 Do not ask athletes to pay you outside EchoFit for coaching that EchoFit bills, and do not move an athlete EchoFit assigned to you off the platform.
6.3 The instructions you give the AI coach about an athlete must be about their training, must be truthful, and must never ask it to hide safety information from them.
6.4 If you recommend EchoFit publicly and earn from it, you must say so clearly.
6.5 Programmes and content you publish remain yours. You give EchoFit a non-exclusive, worldwide, royalty-free licence to host, display, adapt for the app and deliver them to your athletes and, if you choose to publish them more widely in the product, to other members, and to use your name and coach-page photo for that purpose. You can withdraw content; athletes already running it may finish.
6.6 You must have the rights to everything you publish. Do not copy other authors' programmes or use their trademarks as your own.
7. Money
7.1 The commercial terms that apply to you — any seat fee, any share of the subscription revenue of members attributed to you, any share of Signature coaching fees, and the platform fee on payments athletes make to you through EchoFit — are those shown to you in the coach portal. Each payment uses the terms in force when that payment is made, and a change never reduces amounts already earned.
7.2 When payments to coaches through EchoFit are available, athletes pay through Stripe Connect. You must complete Stripe's onboarding (including identity checks) and accept Stripe's Connected Account Agreement. Stripe pays out to your bank account on its schedule, after EchoFit's platform fee.
7.3 Refunds and chargebacks on payments to you reduce what you are paid. Where you set the price, you also set your refund policy within the limits of the law and of the EchoFit Terms of Service.
7.4 Before we pay you, we may ask for the tax forms the law requires (for example a W-9 or W-8 for the United States). You are responsible for your own taxes. Where the law requires us to withhold tax, we will.
7.5 We pay amounts you have earned under section 7.1 even after this Agreement ends, unless they were earned in breach of it.
8. What EchoFit does
8.1 We provide the coach portal and keep it running with reasonable care, but we do not promise it will be uninterrupted or error-free.
8.2 We may change the platform. If a change materially reduces a capability you rely on, we tell you before it ships.
8.3 We will not use the coaching relationship to move an athlete you introduced to another coach or to EchoFit's own coaching service. If such an athlete asks to change coaches, we ask them to speak to you first.
9. Ending this Agreement
9.1 You may end this Agreement at any time by closing your coach profile or by writing to us. We may end it on 14 days' notice for any reason.
9.2 We may suspend your coach access at once, and end this Agreement, if you breach sections 4 or 5, if an athlete may be at risk, or if the law requires it.
9.3 When it ends, your athletes keep their accounts, their history and their exports. They are told the coaching relationship has ended, and you lose access to their data.
9.4 Sections 5, 6.5, 7.4, 7.5, 10, 11 and 12 survive the end of this Agreement.
10. Liability and indemnity
10.1 You are responsible for the coaching services you provide. You will indemnify EchoFit against claims, losses and reasonable legal costs arising from your coaching, your content, or your breach of this Agreement, except to the extent caused by our own breach.
10.2 Except for your obligations in sections 5 and 10.1, and except where the law does not allow it, each party's total liability under this Agreement is limited to the greater of the amounts paid between us in the 12 months before the claim, or USD 1,000, and neither party is liable for indirect or consequential loss.
11. Confidentiality
11.1 Information we share with you about unreleased features, pricing not yet public, metrics or the inner workings of the platform is confidential. Use it only for coaching on EchoFit, and do not disclose it. This does not stop you from giving an honest opinion about EchoFit in public.
12. General
12.1 This Agreement is governed by the law of Wyoming and applicable United States federal law. Disputes are resolved as section 19 of the EchoFit Terms of Service describes.
12.2 We may update this Agreement. We tell you in the coach portal before a material change applies, and ask you to accept the new version; if you do not, you can end this Agreement under section 9.1.
12.3 You may not transfer this Agreement. We may transfer it to a successor of the EchoFit business.
12.4 If any part is unenforceable, the rest stands. This Agreement, with the EchoFit Terms of Service and Privacy Policy, is the whole agreement about coaching on EchoFit; any letter or summary shared alongside it is descriptive only.
12.5 Notices to EchoFit: legal@echofit.app. Notices to you: the email on your EchoFit account.
12.6 This Agreement is published in English and Arabic, and both versions are authentic. If they differ, the Arabic version applies to a coach who lives in a Gulf Cooperation Council state, and the English version applies to everyone else.
